Terms of Use
These Terms of Use govern your access to and use of services provided by Phioranex Private Limited. Please read them carefully before engaging our services.
01.Acceptance of terms
By accessing or using phioranex.com, our mobile applications, or any services provided by Phioranex Private Limited, you agree to be bound by these Terms of Use. If you do not agree, please discontinue use immediately.
02.Our services
Phioranex provides software development services including mobile application development (iOS, Android, Flutter), web and SaaS development (.NET, React), AI integration, and UI/UX design. Service scope, deliverables, timelines, and fees are defined in individual project agreements or statements of work ("SOW") which form part of these terms.
03.Eligibility
You must be at least 18 years old and legally capable of entering into contracts in your jurisdiction to use our services. By using our services, you represent that you meet these requirements.
04.Accounts & access
Where account access is provided (portals, staging environments, repositories), you are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us immediately of any unauthorised access.
05.Acceptable use
You agree not to misuse our services by: attempting to reverse-engineer, decompile, or disassemble any software; engaging in activities that violate applicable law; transmitting harmful code; or interfering with service infrastructure. We reserve the right to suspend access for policy violations without notice.
06.Intellectual property
Upon receipt of full payment for a project, Phioranex assigns to you all custom code and creative work developed exclusively for that project. We retain ownership of our proprietary frameworks, libraries, tools, and methodologies used across projects. Portfolio rights: Phioranex retains the right to display completed work in our portfolio and case studies unless you request otherwise in writing before project commencement.
07.AI features & disclaimer
Where AI-powered features are integrated into your product, outputs are probabilistic and may not always be accurate. You are responsible for implementing appropriate human oversight before acting on AI-generated content in high-stakes contexts. Phioranex is not liable for decisions made solely on the basis of AI outputs.
08.Payments & refunds
Payment terms are specified in individual SOWs. Generally: a deposit is due at project kick-off; milestone payments are tied to deliverable acceptance. Unused deposits on cancelled projects may be non-refundable depending on work completed. Invoices unpaid after 30 days may accrue interest at 2% per month.
09.Confidentiality
Both parties agree to keep confidential any proprietary information shared during the engagement. This obligation persists for 3 years after project completion. Phioranex handles your data per our Privacy Policy.
10.Disclaimers
Services are provided "as is" and "as available". While we strive for high quality, Phioranex does not warrant that software will be error-free or uninterrupted. We do not guarantee specific outcomes (e.g. App Store approval, search rankings, revenue targets).
11.Limitation of liability
To the maximum extent permitted by law, Phioranex's total liability for any claim arising out of or related to these terms or our services shall not exceed the total fees paid by you in the six months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.
12.Indemnification
You agree to indemnify and hold Phioranex harmless from claims, damages, or expenses (including legal fees) arising from: your breach of these terms; your use of the services; content or data you provide to us; or infringement of third-party rights by materials you supply.
13.Termination
Either party may terminate an engagement on 14 days' written notice. On termination, you will pay for work completed to date. We may immediately terminate for cause (e.g. non-payment, policy violation). Sections on IP, confidentiality, liability, and governing law survive termination.
14.Governing law
These terms are governed by the laws of India. Disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, India.
15.Changes to these terms
We may update these terms periodically. Material changes will be communicated via email or website notice. Continued use of our services after changes take effect constitutes acceptance of the revised terms.
